Why is Filing an Annual Statement Important?
The Annual Statement is a mandatory disclosure form listing details such as the names of directors and officers of the company as well as its registered office and recognized agent residing in the Province of Nova Scotia.
Under Nova Scotia’s Corporations Registration Act, every company registered to carry on business in Nova Scotia (no matter what provincial or national legislation it is incorporated under) must file an Annual Statement. By doing so, the company will remain ACTIVE under the Corporations Registration Act.
A company must do this once a year, no later than the end of the month it was incorporated.
Should the company fail to file its Annual Statement and pay its fee prior to this date, the Nova Scotia Registry of Joint Stock Companies will change the company’s status to REVOKED FOR NON-PAYMENT. This will limit the ability of the Company to have standing in Nova Scotia’s courts, trigger potential monetary penalties, and can lead to further action by the Nova Scotia Registry of Joint Stock Companies.
If your company is a Nova Scotia company, and its registration status remains revoked for non-payment for an extended period of time, the Nova Scotia Registry of Joint Stock Companies will eventually take steps under Nova Scotia’s Companies Act to strike the Nova Scotia company from the official roll of companies in Nova Scotia, listing the company as STRUCK-OFF, which ends the Nova Scotia company’s existence.

You are free to complete the processing of your Annual Statement on your own. You should follow the instructions on the Annual Renewal Notice you have received to do so.

We charge a modest fee for this of $175 plus the cost of the government filing fee noted on the Annual Statement, plus applicable Harmonized Sales Tax (HST).
As of 2026, we will require payment of these costs prior to completing the filing of an Annual Statement. Such payment will be held in our non-interest-bearing trust account until we complete the processing and issue you an invoice for the service, which will be marked paid via the funds you have remitted with this form.
